Terms of Service

These Terms of Service ("Terms") govern access to and use of repwyn.app and my.repwyn.app (together, the "Service"), provided by OPTIFLO APPS LTD, company number 17284323, registered office SIU Offices, 4–6 Greatorex Street, London, E1 5NF, United Kingdom ("Repwyn", "we", "us", "our").

By purchasing, accessing, or using the Service, you agree to these Terms on behalf of yourself and the business you represent.

1. Business customers only

The Service is provided for business use only. It is not intended for, and may not be purchased by, individual consumers acting outside a trade, business, or profession. Nothing in these Terms confers rights available to consumers under consumer protection legislation.

2. What Repwyn is

Repwyn is a review and reputation management product. It is built by whitelabelling MoreGoodReviews (MGR) under a whitelabel agreement between OptiFlo Apps Ltd and MGR. We operate the storefront, checkout, and account provisioning. The underlying review and reputation platform, available to you at my.repwyn.app, is operated by MGR under our brand. We are responsible to you for the Service as a whole; MGR's own terms and acceptable use rules also apply to your use of the platform itself, and will be provided to you as part of onboarding.

3. Accounts and plans

Repwyn is offered on Core, Pro, and Elite plans, priced per location as set out on repwyn.app. Plan features, including AI tools, API and MCP access, and agency functionality, vary by tier as described on our pricing page.

You are responsible for the accuracy of the information provided at signup and for maintaining the security of your account credentials.

4. Billing

Subscriptions are billed monthly or yearly in advance via Stripe, in GBP. Prices shown do not currently include VAT, as OptiFlo Apps Ltd is not currently VAT registered. If this changes, we will update pricing and invoicing accordingly and notify customers in advance.

You authorise us to charge your payment method on a recurring basis for as long as your subscription remains active. If a payment fails, we may suspend access to the Service until payment is resolved.

5. Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service until then. We do not offer refunds for partial billing periods or unused time, including on annual plans. Full details are set out in our Refund and Cancellation Policy.

6. Acceptable use

You agree not to use the Service to:

  • Post false, misleading, or fraudulent reviews or review requests
  • Upload customer contact data you do not have a lawful basis to use
  • Attempt to circumvent plan limits, security controls, or API rate limits
  • Use the Service in a way that breaches applicable law or MGR's own acceptable use terms

We may suspend or terminate accounts that breach this section.

7. Data protection

Our collection and use of personal data is described in our Privacy Policy. Where you upload your own customers' contact details to the Service, you act as the data controller for that data and are responsible for having a lawful basis to process it. We and MGR act as processors for that data.

8. Intellectual property

The Repwyn brand, marketing site, and checkout are owned by OptiFlo Apps Ltd. The underlying software platform is owned by MGR. Nothing in these Terms transfers ownership of either party's intellectual property to you. You retain ownership of the content and customer data you upload.

9. Service availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service depends on infrastructure operated by MGR, Stripe, Supabase, and other providers, and we are not liable for outages caused by those providers.

10. Limitation of liability

To the extent permitted by law, our total liability to you arising out of or in connection with the Service is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential losses, including loss of profit, revenue, or business opportunity.

Nothing in these Terms limits liability that cannot be limited under English law, including liability for death or personal injury caused by negligence, or for fraud.

11. Termination

We may suspend or terminate your account for breach of these Terms, non-payment, or if required to do so by MGR under our whitelabel agreement. On termination, your access to the Service will end, and any data held within MGR's platform will be handled in accordance with MGR's own data retention practices.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to account holders by email or via notice on repwyn.app. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of the courts of England and Wales.
